• Reviews valuation reports prepared by third party valuation firms for accuracy, reasonability, and completeness.
• Develops business cases for identified target areas.
• Coordinates due diligence activities with the relevant internal teams. Coordinates integration planning and execution deliverables as well as actively engages in the integration process by coordinating the appropriate functional teams to ensure that the business plan is properly implemented.
• Coordinates transaction processes by managing the flow of information and communication to and from all relevant parties both internal and external.
• Reviews and provides comments on legal documentation (E.g. non-disclosure agreements, purchase agreements, etc.) relevant to proposed transactions.
• Reviews financial, business, and other relevant sections of legal contracts associated with transactions and provide feedback/recommendations as well as alternative deal structures, where applicable.
• Utilizes a variety of resources (E.g. independent research firms, trade shows, contacts within the industry, etc.) to compile useful and relevant information about industries of interest.
• Drafts investment presentations and recommendations for all stages of the deal process from sourcing to integration.
• Assists in preparing initial non-binding proposals and final offers for target companies.
• Coordinates the team of required professionals required throughout the deal process.
• Performs or supervises (3rd party consultants) financial due diligence reviews.
• Assists with post-transaction activities including integration efforts and asset appraisals.
• Supports the translation of the integration strategy into executable plans with appropriate budgets and enables consistent integration results within budget.
